End User License Agreement

1. Definitions

"Licensor" means Volta Plugins Limited, a company registered in England and Wales. Registered address: 66 Paul Street, London, England, EC2A 4NA.

"Software" means the Voltaverb audio plugin software, including all associated files, libraries, impulse responses, presets, and documentation.

"Licensee" or "You" means the individual or entity that has purchased a license to use the Software.

2. Grant of License

Subject to the terms and conditions of this Agreement, Licensor grants You a non-exclusive, non-transferable, limited license to:

1. Install and use the Software on up to three (3) computers owned or controlled by You, provided that the Software is not used on more than one computer simultaneously.
2. Make one (1) backup copy of the Software for archival purposes only.

3. Restrictions

You shall NOT:

1. Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
2. Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer the Software or any rights therein to any third party.
3. Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
4. Use the Software in any manner that infringes the intellectual property or other rights of Licensor or any third party.
5. Share, publish, or distribute license keys, activation codes, or any authentication credentials associated with the Software.
6. Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.

4. Intellectual Property Rights

The Software and all copies thereof are proprietary to Licensor and title thereto remains exclusively with Licensor. All rights in the Software not specifically granted in this Agreement are reserved to Licensor. The Software is protected by copyright laws and international treaty provisions.

The impulse responses, presets, and sound libraries included with the Software are licensed, not sold, and remain the intellectual property of Licensor or its licensors. You may use them only within the context of music production and audio work; you may not redistribute them as standalone samples or sound libraries.

5. Support and Updates

Licensor may, at its sole discretion, provide updates, bug fixes, or new versions of the Software. Any such updates shall be subject to the terms of this Agreement unless accompanied by a separate license agreement.

Support is provided via email at support@voltaplugins.com. Licensor will make reasonable efforts to respond to support inquiries but does not guarantee response times or resolution of all issues.

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Licensor if You fail to comply with any term of this Agreement.

Upon termination, You shall cease all use of the Software and destroy all copies, full or partial, of the Software in Your possession or control.

9. Continued Availability in Event of Licensor Cessation

If Licensor permanently ceases active trading operations, Licensor commits to publish, within ninety (90) days of such cessation, a final "Perpetual Build" of the Software that does not require server-based activation and will continue to operate without any time limit or online verification.

The Perpetual Build shall:

1. Contain all features, impulse responses, and presets included in the Software at the time of cessation;
2. Require no contact with any activation server to install, activate, or run, and shall not expire;
3. Be made available at no additional charge to existing Licensees via the voltaplugins.com website (or its successor domain) and, in the event that domain is not operational, via a publicly documented backup channel such as a GitHub releases page specified at the time of the cessation announcement;
4. Where technically feasible, be accompanied by signing certificates or other resources sufficient to verify the Perpetual Build as an official release.

This commitment is intended to ensure that Your investment in the Software is not rendered unusable by the discontinuation of Licensor's business operations. This Section 9 shall survive the termination of this Agreement and the cessation of Licensor's operations.

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Entire Agreement

This Agreement constitutes the entire agreement between You and Licensor with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.

12. Severability

If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
